EB-5 GREEN CARD
For many global entrepreneurs, investors, and business leaders, the EB-5 Immigrant Investor Program provides one of the most direct pathways to permanent residence in the United States. Through a qualifying investment that creates U.S. jobs, investors and their families may obtain a U.S. green card.
Congress created the EB-5 Green Card program in 1990 to stimulate the U.S. economy through job creation and capital investment by foreign investors. The program was originally designed to attract immigrant entrepreneurs who would invest in and manage new commercial enterprises in the U.S. Permanent residence (commonly called “Green Card”) is permissible for foreign investors who invest in a commercial enterprise that will benefit the U.S. economy and create at least 10 full-time jobs.
The EB-5 program allows for conditional residency and eventual lawful permanent residency for persons who, after Nov. 29, 1990, invest at least the legally required minimum capital invested in a new commercial enterprise that creates at least 10 full-time jobs for United States Citizens or authorized immigrant workers and who engages in day-to-day management or policy formation of the commercial enterprise. The capital invested must be lawfully sourced and meet the minimum threshold. The amounts were originally $1,000,000 (or $500,000 in “targeted employment areas” (TEAs)) but were increased to $1,050,000 and $800,000 respectively by statute for all applications filed on or after Mar. 15, 2022. All investments must be valued at their fair market value in U.S. dollars.
Quota is 7.1% of worldwide employment-based visas per year (approximately 10,000). Of these visas: (i) 20% are reserved for projects in rural areas; (ii) 10% for high unemployment areas designated by DHS; and (iii) 2% for investment in infrastructure projects, which shall be determined solely by DHS and are defined as a capital investment project administered by a federal, state or local governmental agency or authority where the government entity is the job creating entity. Any remaining unused immigrant visas in the same set aside category may be carried over to the next fiscal year, and if still unused, to the third fiscal year before being released to the general pool.
A new commercial enterprise must be a for profit activity formed as a lawful business, and cannot be a personal residence or non-commercial activity. Eligible business types include investments in a troubled business or in a holding company with wholly owned subsidiaries.
Obtaining an EB-5 Green Card requires an investor to file a petition with USCIS. Upon approval of the petition, the investor and immediate family (spouse plus single children under 21 years of age) may apply for an immigrant visa at a U.S. consulate or apply for adjustment of status at a regional USCIS office provided the investor is already in the United States in another valid nonimmigrant status. The EB-5 is one of several investor visas and immigrant visas available to a foreign national seeking U.S. permanent residency.
There is both a direct investment program and an EB 5 regional center program. Investors in the direct investment program are required to file an I-526 petition to obtain status, while investors in the pooled regional center program are required to file an I-526E to obtain status. However, the I-526E may not be filed until the regional center has filed a Form I-956F that provides for an “exemplar” filing of the investment project.
Regional centers are considered an economic unit and must be approved regional centers by USCIS. The EB-5 regional center program facilitates job creation and economic growth by pooling investments from multiple investors. Passive investment is possible through regional centers, allowing investors to meet job creation requirements without active management. If successful they file a application for adjustment of status in the United States or seek an Immigrant Visa and become conditional permanent residents (CPRs) upon their admission. They then must file an I-829 petition to remove the condition on their residency within 90 days of the second anniversary of the CPR status.
The I-829 petition will be approved if the investor can prove that they invested or were actively in the process of investing the required capital, maintained the, and that the investment successfully created the necessary employment opportunities.
What Is the EB-5 Immigrant Investor Program?
The EB-5 program enables foreign nationals to obtain lawful permanent residence in the United States by making a capital investment in a U.S. business that generates employment opportunities for U.S. workers.
Key requirements include:
- Investment in a qualifying U.S. commercial enterprise
- Creation of at least ten full time jobs for U.S. workers
- Investment capital that comes from lawful sources
Successful applicants first receive a conditional green card, followed later by permanent residence once job-creation requirements are satisfied.
Benefits of EB-5
The EB-5 visa program offers a range of compelling benefits for foreign investors seeking to secure permanent resident status in the United States. By making a qualifying capital investment in a commercial enterprise, investors not only pursue their own immigration goals but also play a direct role in creating jobs and promoting economic growth within the U.S. economy. The program’s structure allows foreign investors to meet the minimum investment requirement—either $1,050,000 or $800,000 if investing in a Targeted Employment Area (TEA)—and often to pool resources through regional centers, which can simplify the process and broaden investment opportunities.
One of the most attractive aspects of the EB-5 program is its inclusivity for family members. Investors can obtain permanent resident status not only for themselves but also for their spouse and unmarried children under 21, ensuring a secure future for their immediate family. By investing in a new commercial enterprise and meeting the job creation requirements, EB-5 participants contribute to the U.S. workforce and economic development, making the program a win-win for both immigrant investors and the nation. The EB-5 visa thus stands out as a strategic pathway for those seeking to combine foreign investment with the opportunity to live, work, and thrive in the United States.
How Much Money Do I Need to Invest for EB-5?
The required investment depends on the location of the project.
Current investment thresholds:
- $800,000 — Investment in a Targeted Employment Area (TEA)
- $1,050,000 — Investment in a non-TEA area
TEAs generally include:
- Rural areas
- Areas with high unemployment
Investing in a TEA allows investors to qualify for the lower investment threshold.
What Is a Targeted Employment Area (TEA)?
A Targeted Employment Area is a geographic area identified by law as needing economic development. TEAs fall into two main categories:
Rural Areas
Areas located outside a metropolitan statistical area and outside cities with populations over 20,000.
High-Unemployment Areas
A high-unemployment area is a geographic area designated by U.S. Citizenship and Immigration Services (USCIS) consisting of the census tract or tracts where the new commercial enterprise primarily conducts business. The designated area may also include certain adjacent census tracts. To qualify, the weighted average unemployment rate for these tracts must be at least 150% of the national.
Many EB-5 projects are located in TEAs because they allow the reduced investment amount of $800,000.
Can I Get a Green Card Immediately After Investing?
No. The EB-5 process involves multiple stages.
First, investors receive a two-year conditional green card. During this period:
- The investment must remain at risk
- The required jobs must be created
After the job-creation requirement is satisfied, investors file Form I-829 to remove conditions and obtain a permanent green card.
How long must an EB-5 investment remain invested for Form I-526 or I-526E petitions filed on or after March 15, 2022?
On March 15, 2022, President Joe Biden signed the EB-5 Reform and Integrity Act of 2022 (RIA) into law as part of the Consolidated Appropriations Act, 2022. This legislation reauthorized the Regional Center Program and introduced significant integrity and compliance reforms to the EB-5 immigrant investor program.
Among its many changes, the RIA revised the requirements governing how long an EB-5 investor must maintain their investment to qualify for immigrant classification and later remove conditions on permanent residence.
Under the revised statute, an EB-5 investment must be expected to remain invested for at least two years to establish eligibility for immigrant investor classification. Importantly, the RIA eliminated the prior requirement that investors maintain (“sustain”) their investment throughout the entire two-year period of conditional permanent residence.
However, this change applies only to petitions filed after the enactment of the RIA. The revised sustainment rule does not apply to investors seeking removal of conditions based on a Form I-526 petition filed before March 15, 2022.
As a result, investors who filed Form I-526 before March 15, 2022 must still demonstrate that their investment was sustained throughout the full two-year conditional residence period in order to qualify for removal of conditions on their lawful permanent resident status.
Do I Have to Personally Create 10 Jobs?
The EB-5 program requires the creation of 10 full-time jobs for U.S. workers, but the way those jobs are counted depends on the investment structure.
Direct Investment
The business must directly employ the workers.
Regional Center Investment
Indirect and induced jobs calculated through economic modeling may count toward the requirement.
Regional center projects often make job-creation compliance easier for investors.
What Happens If the EB-5 Project Fails?
EB-5 investments must be “at risk”, meaning there is no guarantee of return.
If a project fails before meeting EB-5 requirements, it could affect immigration eligibility.
This is why investors should carefully evaluate:
- Project viability
- Regional center track record
- Job-creation projections
- Exit strategy
Reviewing examples of successful projects can also help investors assess the likelihood of positive outcomes. Working with experienced immigration counsel can help investors assess immigration risks associated with a project.
What Is a Regional Center?
A regional center is an organization approved by USCIS that sponsors EB-5 investment projects, pooling funds from multiple investors to finance large-scale developments. These centers utilize economic models to account for both direct and indirect job creation, making it easier for investors to meet EB-5 job creation requirements. Regional centers manage the development process and offer a more passive investment option compared to direct investments, attracting the majority of EB-5 participants due to simplified compliance and diversified project opportunities.
Regional centers:
- Pool investor funds into large projects
- Use economic models to count indirect job creation
- Manage development projects
Most EB-5 investors participate through regional centers because they simplify compliance with job-creation requirements.
Can I Work in the United States While My EB-5 Petition Is Pending?
In many cases, yes.
Investors already present in the United States in valid nonimmigrant status may be able to file adjustment of status concurrently with the EB-5 petition.
This may allow them to apply for:
- Employment Authorization (EAD)
- Advance Parole travel permission
These benefits allow investors to live and work in the United States while their case is pending.
What Documents Are Required for EB-5?
One of the most important aspects of EB-5 cases is documenting the lawful source of investment funds.
Typical documentation includes:
- Tax returns
- Bank records
- Business ownership documents
- Property sale records
- Gift or inheritance documentation
All assets and investments must be valued at their fair market value in U.S. dollars to meet EB-5 requirements. USCIS requires a clear, well-documented financial trail demonstrating that the funds were obtained legally.
Is EB-5 Investment Refundable?
EB-5 investments must remain “at risk” to qualify under immigration law.
While many projects plan to return investor capital after a defined investment period, the immigration regulations prohibit guaranteed returns.
Investors should carefully review:
- Project offering documents
- Subscription agreements
- Exit timelines
Is EB-5 Safe?
The EB-5 program itself is a legitimate U.S. immigration program established by Congress.
However, the financial safety of the investment depends on the project itself.
Investors should conduct thorough due diligence, including:
- Reviewing project financials
- Evaluating developer experience
- Understanding capital stack structure
- Reviewing securities disclosures
Some fraudulent schemes have been structured in such a way as to appear legitimate, making careful review and due diligence even more critical.
Experienced immigration counsel can help investors identify potential immigration risks.
Securities and Exchange Commission (SEC) Oversight
The Securities and Exchange Commission (SEC) plays a vital role in safeguarding the integrity of the EB-5 program. For foreign investors, SEC oversight means that all EB-5 investments must comply with U.S. securities laws, ensuring transparency, proper disclosure, and legitimacy throughout the investment process. This regulatory framework is designed to protect investors from fraudulent schemes and to guarantee that their capital is directed toward genuine projects that promote economic growth and job creation.
By enforcing strict adherence to securities regulations, the SEC helps maintain the credibility of the EB-5 program and ensures that investment offerings are presented honestly and with full disclosure of risks and benefits. This oversight not only protects individual investors but also supports the broader goals of the EB-5 program—promoting economic growth and job creation in the United States—by ensuring that only legitimate, well-structured projects receive foreign investment.
EB-5 vs EB-2 National Interest Waiver (NIW): Which Is Better?
Both pathways lead to a green card, but they serve different types of applicants.
EB-5
- Requires significant financial investment
- No employer sponsorship required
- Does not require advanced academic credentials
EB-2 NIW
-
Requires advanced degree or exceptional ability• Requires demonstrating national interest contributions• No financial investment requirement
For entrepreneurs and investors who may not qualify for NIW, EB-5 may be the more viable path.
EB-5 Visa Backlogs for India and China
Demand for EB-5 visas can exceed the annual quota for certain countries.
Historically, investors from China and India have faced visa backlogs due to high demand.
However, recent legislation has created visa set-asides for certain types of projects, including rural investments, which may provide faster visa availability for some investors.
Rural EB-5 Benefits
Rural EB-5 projects have gained significant attention under recent reforms.
Advantages may include:
- Priority visa availability
- Potentially faster processing
- Lower investment threshold ($800,000)
These incentives encourage investment in economically underserved regions.
Can My Child Age Out During the EB-5 Process?
Children included in EB-5 applications must generally remain under age 21.
However, the Child Status Protection Act (CSPA) may protect certain children from aging out during the immigration process by freezing their age during petition processing.
Because EB-5 timelines can be lengthy, investors with older children should carefully evaluate this issue before filing.
EB-5 Program Updates
Recent years have brought significant updates to the EB-5 program, aimed at strengthening its integrity and effectiveness. RIA, enacted in 2022, introduced several important changes. Among these are increased minimum investment amounts—now set at $1,050,000 for standard projects and $800,000 for those in a Targeted Employment Area (TEA)—and enhanced requirements for regional centers, which must now meet stricter compliance and reporting standards.
The Act also established new visa set-asides for qualified immigrant investors who direct their capital into specific categories, such as infrastructure projects, further supporting economic development in key sectors. Additionally, the program now demands more rigorous documentation and verification of job creation requirements, ensuring that each investment results in the creation of permanent full-time jobs for lawful permanent residents. These updates reflect a commitment to maintaining the EB-5 program as a reliable and transparent pathway for immigrant investors, while reinforcing its role in driving economic growth and job creation across the United States.
